This is the original English-language version of these Terms of Service. Translations are provided for convenience. In the event of any conflict or inconsistency between the English version and a translation, the English version prevails.


1. Who we are and what these terms cover

These Terms of Service (the "Terms") are a legal agreement between RECENSIO LIMITED ("Recensio", "we", "us", "our") and the business that registers for or uses the Recensio service (the "Customer", "you", "your"). They govern your access to and use of the Recensio application, website and related services (together, the "Service").

By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

2. The Service is for business use only

The Service is offered exclusively for professional and business purposes. By using the Service, you represent and warrant that you are acting in the course of a trade, business, craft or profession, and not as a consumer. You must be at least 18 years old and authorised to enter into these Terms on behalf of the business you represent.

3. What the Service does

Recensio helps you manage and respond to your Google reviews. The Service connects to your Google Business Profile with your authorisation, retrieves your reviews, and uses artificial intelligence to analyse each review and draft a reply in your business's tone of voice.

You control how replies are handled through the automation settings described in Section 4. Depending on those settings, a drafted reply is either presented to you for approval or approved automatically according to your rules. Once a reply is approved, the Service publishes it to your Google Business Profile on your behalf.

The Service relies on the Google Business Profile API and on third-party providers listed in our Sub-processor List. We do not control Google, and the availability and behaviour of the Google Business Profile API are outside our control.

4. Automation and your consent

You choose how much automation you want, per business. Three modes are available:

In every mode, a safety mechanism detects sensitive or critical content and holds the affected reply for your manual review, regardless of the selected mode.

Automatic approval is never on by default. To enable semi-automatic or full-automatic mode, you must switch it on yourself and provide explicit confirmation. When you do, we record that you gave this consent, including the time and the user account that gave it. You can withdraw this consent and return to manual mode at any time, directly in your settings, with immediate effect. If a valid consent is not on record, the Service will not approve replies automatically.

You are responsible for the automation settings you choose and for the replies published under your account. Because replies concern your business and are published in your name, you should choose the level of automation appropriate to your business.

6. Fees, VAT and payment

6.1 Plans

The Service is offered on monthly subscription plans. The plans currently available, their prices, and the number of businesses each includes are described on our pricing page at recensio.ai and are shown to you at checkout before you confirm payment. Prices are stated in euro and exclude VAT.

6.2 VAT

Value Added Tax is added at checkout at the rate applicable in your country, and shown before you confirm payment. Because we treat customers that do not provide a valid VAT identification number as non-taxable persons for VAT purposes, VAT is charged at your local rate and remitted by us through the EU One-Stop-Shop. This VAT treatment does not change the business nature of this agreement (see Section 2).

6.3 Free trial

New subscriptions include a 30-day free trial. No payment card is required to start the trial. Unless you cancel before the trial ends, your subscription begins and the applicable fee (plus VAT) becomes payable at the end of the trial.

6.4 Renewal and payment

Subscriptions renew automatically for successive monthly periods until cancelled. Payment is processed by our payments provider, Stripe. If a payment fails, we may allow a short grace period before suspending access.

6.5 Cancellation

You may cancel at any time, either within the Service or through the Stripe billing portal. When you cancel, your subscription remains active until the end of the current paid period, after which it will not renew. We do not provide partial-period refunds.

6.6 Refunds

Fees are non-refundable, except where a refund is required by applicable law.

7. Usage limits

To keep the Service reliable and secure, we apply technical limits, including the number of businesses available on your plan (as described on our pricing page) and reasonable rate limits on automated requests. We may adjust these limits to protect the integrity and security of the Service.

8. Intellectual property

We (and our licensors) own all rights in the Service, including its software, design and content, excluding your data. We grant you a non-exclusive, non-transferable right to use the Service during your subscription in accordance with these Terms.

You retain all rights in the data and content you provide or process through the Service. You grant us the limited right to process that content solely to provide the Service, as described in our Privacy Policy and, where we act as your processor, our Data Processing Agreement.

9. Data protection

Our processing of personal data is described in our Privacy Policy. Where we process, on your behalf, personal data contained in the reviews you manage through the Service, we act as your processor under Article 28 GDPR, and that processing is governed by our Data Processing Agreement, available on request.

10. Availability and changes to the Service

We work to keep the Service available and reliable, but we do not guarantee that it will be uninterrupted or error-free. We may modify, improve or discontinue features of the Service. Where a change is material and within our control, we will give you reasonable notice.

11. Suspension and termination

You may stop using the Service and cancel at any time as described in Section 6.5. We may suspend or terminate your access if you materially breach these Terms, if required by law, or to protect the Service or other users. On termination, your right to use the Service ends, and we will handle your data as described in our Privacy Policy.

12. Disclaimers

To the fullest extent permitted by law, the Service is provided "as is" and "as available", without warranties of any kind, whether express or implied. We do not warrant that the replies drafted by the Service will be suitable for every situation; you remain responsible for the content published under your account and for your choice of automation settings.

13. Limitation of liability

To the fullest extent permitted by law:

Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law.

14. Indemnity

You will indemnify us against claims, losses and costs arising from your use of the Service in breach of these Terms or applicable law, including claims that content published under your account infringes the rights of a third party.

15. Changes to these Terms

We may update these Terms from time to time. We will change the "last updated" date and, where changes are material, take reasonable steps to notify you. Your continued use of the Service after a change takes effect constitutes acceptance of the updated Terms.

16. Governing law and jurisdiction

These Terms are governed by the laws of Ireland. The courts of Ireland have exclusive jurisdiction over any dispute arising out of or in connection with these Terms or the Service.
